Eligibility: The Da Vinci Code DVD "Unlock the Codes" Sweepstakes with Yahoo! ("Sweepstakes") is open only to legal residents of the fifty (50) states of the United States (including D.C.) and Canada (excluding Quebec) who are physically located and residing therein (excluding Guam, Puerto Rico, and all other U.S. and foreign territories and possessions) and who are 13 years of age or older as of November 14, 2006. If entrants are residents of a jurisdiction that deems them to be minors, they must obtain parental/legal guardian consent prior to entering or submitting any personally identifiable information. Employees, officers, and directors of Sony Pictures Home Entertainment Inc. and Yahoo! Inc. ("Sponsors"), Sony Pictures Digital Inc., Sony Pictures Entertainment Inc. ("Sony"), Dictionary.com, Ice.com, Grand Blanc Travel, Sony Electronics Inc., Hilltop New Media Inc., Skycastle Entertainment, Inc., Sullivan Compliance Company ("Sweepstakes Administrator"), their advertising or promotion agencies, those involved in the production, development, implementation or handling of this Sweepstakes, any agents acting for, or on behalf of the above entities, their respective parent companies, affiliates, and subsidiaries, licensees, service providers, and any other person or entity associated with this Sweepstakes (collectively, the "Sweepstakes Entities"), and members of their immediate families (spouses, children, siblings, parents), and/or persons living in the same household as such persons, whether or not related, are ineligible to enter this Sweepstakes.

Description: This Sweepstakes begins at 12:00:01 AM Pacific Time ("PT") on November 14, 2006, and ends at 11:59:59 PM PT on February 28, 2007 ("Sweepstakes Period"). For purposes of this Sweepstakes, all times refer to Pacific Time ("PT"). This Sweepstakes consists of two (2) Phases. Phase 1 starts at 12:00:01 AM PT on November 14, 2006, and ends at 11:59:59 PM PT on November 28, 2006. Phase 1 consists of 15 daily clues ("Daily Clue") with the first Daily Clue being released at 12:00:01 AM PT on November 14, 2006 and the last Daily Clue being released at 12:00:01 AM PT November 28, 2006. Phase 2 starts at 12:00:01 AM PT on November 29, 2006, and ends at 11:59:59 PM PT on February 28, 2007.

How to Enter: To enter Phase 1 you must have a valid Yahoo! ID. If you are not an existing Yahoo! ID holder, you may create a free Yahoo! account by accessing the Sweepstakes web site located at: www.unlockthecodes.com ("Sweepstakes Web Site"). Follow the instructions to register with all required information, including, without limitation, your email address, complete first name, complete last name, complete street address (including city, state/province and zip/postal code; no P.O. Boxes), birth date, gender and telephone number (including area code) (collectively, your "Entry Information"), together with any requested optional information. Participants can only register and enter under one (1) email address. Once an email address has been registered by a participant that email address cannot be used by any other person. Once registered with Yahoo!, access the Sweepstakes Web Site, log in and look for that day's Daily Clue which will direct you to The Da Vinci Code DVD for the answer. Once you have obtained the answer, access the Sweepstakes Web Site and input the correct answer. You will receive one (1) entry into Phase 1 for each of the 15 Daily Clues you correctly answer, for up to 15 possible entries for Phase 1 ("Phase 1 Internet Entry"). Phase 1 Internet Entries must be received by 11:59:59 PM PT on November 28, 2006.

To enter Phase 1 by mail, legibly handprint your complete first name, complete last name, complete street address (including city, state/province and zip/postal code; no P.O. Boxes), birth date, gender and telephone number (including area code) (collectively, your "Entry Information") on a standard sized postcard (no larger than 5" x 7"), enclosed in a postage-paid business size envelope (#10), and mail it to: The Da Vinci Code DVD "Unlock the Codes" Sweepstakes with Yahoo! Phase 1 -- P.O. Box 6807, Burbank, CA 91510 ("Phase 1 Mail Entry"). No copies of Mail Entries will be accepted. Mail Entries for Phase 1 must be mailed separately postmarked by November 28, 2006, and received by December 5, 2006. All required Entry Information must be completed in full to be eligible to participate in the Sweepstakes. One (1) Phase 1 Mail Entry will be equivalent to fifteen (15) Phase 1 Internet Entries.

The following applies to both methods of Phase 1 Entry: LIMIT FIFTEEN (15) TOTAL PHASE 1 ENTRIES PER PERSON, REGARDLESS OF MEANS OF ENTRY.

To enter Phase 2: If you have complied with all eligibility requirements described in these Official Rules, have properly entered Phase 1 of the Sweepstakes, and are not a winner in the Phase 1 drawings, you are automatically entered in the Phase 2 drawing without any further action on your part. For all others, to enter Phase 2, from 12:00:01 AM PT on November 29, 2006 to 11:59:59 PM PT on February 28, 2007 visit the Sweepstakes Web Site and access the Sweepstakes entry page. Then, complete and thereafter submit the Sweepstakes entry form ("Phase 2 Internet Entry") with your complete Entry Information as described above. Entries for Phase 2 must be received by 11:59:59 P.M. (Pacific Time) on February 28, 2007. Limit one (1) Phase 2 Internet Entry per person/email address for the entire period of Phase 2.

The following applies to all methods of Entry in Phase 1 and Phase 2: Although subsequent attempts to enter may be received, multiple Phase 1 and Phase 2 Internet and Phase 1 Mail-in Entries (collectively "Entries") in excess of the limits stated above will be disqualified. Any attempted form of entry into this Sweepstakes other than as described herein is void. Proof of sending or delivery (such as an automated computer receipt confirming delivery of email, "thanks for entering" message, or post office receipt) does not constitute proof of actual receipt by Sponsors of an entry for purposes of these Official Rules. Automated entries (including but not limited to entries submitted using any bot, script, macro, or sweepstakes service), copies, third party entries, facsimiles and/or mechanical reproductions are not permitted and will be disqualified. Only eligible entries actually received by Sponsors before the end of the specified entry period will be included in the prize drawing. Possible destinations are: Paris, Rome, London, Edinburgh or Florence ("Destination"). Destination to be selected by Winner subject to availability and Sponsors' approval at their sole discretion. Total ARV of all Prizes is: $32,580 U.S. Trips must be taken by December 30, 2007 or they will be forfeited; private after-hours Louvre tour is subject to availability, requires a minimum 30 day advance notice and Winner must provide three (3) potential Tour dates (must be Mondays, Thursdays, Saturdays or Sundays). Tour must be booked by October 31, 2007 or that portion of prize will be forfeited and no additional compensation will be awarded. Prizes will be shipped/mailed to addresses within the 50 states of the U.S. and D.C. only. Gift Cards subject to stated terms and conditions. Sponsors will not replace any lost or stolen Gift Cards. Sony Style Gift Card is issued by Sony and has no expiration date. The Sony Style Gift Card must be activated prior to its initial use and presented at time of purchase. Limit one (1) Prize per person/family/household in this Promotion; Phase 1 Prize winners are not eligible to win a Prize in Phase 2. Once trip dates have been booked, no change, extension or substitution of trip dates is permitted, except at Sponsors' sole discretion. Trips are subject to availability and blackout dates. Should a Grand Prize trip winner choose to take trip or any component of such Trip with no Guest, then the remaining elements of the prize shall constitute full satisfaction of Sponsors' prize obligation to Winner and no additional compensation will be awarded. Winners are responsible for any and all expenses and taxes not included in the prize package, including, but not limited to airline and hotel taxes, Federal, state, provincial and local taxes, and in the case of Trip Winners, additional ground transportation, additional meals, drinks, gratuities, souvenirs, excursions, phone calls, incidentals, tips, and other personal expenses. Trip Winners and their Guests are solely responsible for obtaining all necessary and required travel documentation (passports, travel visas, etc.). No transfer, substitution or cash equivalent for a Prize (or Prize component), except that Sponsors at their sole discretion may substitute a Prize (or Prize component) with one of equal or greater value due to Prize unavailability for any reason. Any depiction of Prizes, in promotional materials or otherwise, is for illustrative purposes only. All expenses not specifically mentioned as being included are excluded and are each Winner's sole responsibility.

Drawings and Notification of Winners. There are two (2) drawings (one (1) drawing per Phase).

1. Phase 1 Sweepstakes: Potential prize winners will be randomly selected from among all eligible Sweepstakes Entries received for Phase 1 Sweepstakes in a drawing to be held on or about one (1) week after Phase 1 Sweepstakes mail received by date. Eligible non-winning Entries received during the entry period of Phase 1 will be retained for Phase 2 Sweepstakes drawing.

2. Phase 2 sweepstakes: Potential prize winners will be randomly selected from among all eligible Sweepstakes Entries received during the entire Sweepstakes Period in a drawing to be held on or about March 12, 2007.

All drawings will be conducted by the Sweepstakes Administrator, an independent judging organization. Potential Phase 1 Grand Prize and First Prize Winners and Phase 2 Grand Prize Winners (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) will be notified by phone (at the phone number provided on that entrant's entry form) within one (1) week of the date his/her name was randomly selected. Phase 1 Second Prize Winners and Phase 2 First Prize Winners (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) will be notified by mail at the time their prize is delivered (at the street address provided on that entrant's entry form) within one (1) month of the date his/her name was randomly selected. If any potential winner cannot be reached after a reasonable effort has been exerted, he/she is found to be ineligible, he/she cannot or does not comply with these Official Rules, and/or if his/her prize or prize notification is returned as undeliverable, such potential winner will be disqualified and, an alternate potential winner of such prize will be selected at Sponsors' sole discretion. Canadian residents must correctly answer a time based mathematical skill testing question to be eligible for a prize.

General Conditions: This Sweepstakes is subject to these Official Rules and all federal, state, provincial and local laws and regulations (collectively "Rules and Laws"). After notification, potential Phase 1 Grand Prize and First Prize Winners and Phase 2 Grand Prize Winners (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) will be required to execute, have notarized, and return an Affidavit of Eligibility, a Liability Release, a Publicity Release (where legal), and any other documentation that the Sweepstakes Administrator and/or Sponsors may require (collectively "Affidavit/Release"), within five (5) days after receipt, or potential winner will be disqualified, and an alternate potential winner will be selected. Each Grand Prize Travel Guest (his/her parent/legal guardian if a resident of a jurisdiction that deems him/her to be a minor) will be required to sign, execute, have notarized, and return a Liability Release, a Publicity Release and any other documentation that Sponsors require within five (5) days after receipt by potential winner. By returning a completed Affidavit/Release, Winners (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) attests to the provisions stated therein including the accuracy of the information contained therein and compliance with these Official Rules. If a winner is a resident of a jurisdiction that deems him/her to be a minor, prize will be awarded in the name of his/her parent/legal guardian. Once submitted, Sweepstakes Entries and the corresponding Entry Information become the sole property of the Sponsors and will not be returned. Notwithstanding anything to the contrary in Sponsors' privacy policies located at http://www.sonypictures.com/terms and http://privacy.yahoo.com/privacy/us/promo/index.html, and except where prohibited by law, entry into the Sweepstakes and/or a Winner's acceptance of a Prize constitutes permission of Winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) for Sponsors to use, without notice or further compensation, worldwide, and in perpetuity, in any and all forms of media, now known and hereafter devised, including, without limitation, on the Web Site or associated Web pages, such Winner's first name, last initial, city, state/province, for purposes of advertising, trade, promotion and publicity. Sponsors reserve the right, at their sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes (including, but not limited to, the use of automated computer programs or any non-human mechanism, entity, or device), the Web Site, or any Web page or Web banner ad related to the Sweepstakes; to be acting in violation of the Official Rules, or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any person attempting to defraud or in any way tamper with the Sweepstakes will be ineligible to win a Prize and will be prosecuted to the full extent of the law. If, for any reason, the Sweepstakes is not capable of running as originally planned, Sponsors, at their sole discretion, reserves the right to cancel, suspend or modify the Sweepstakes (or any portion) and to conduct the drawings and award Prizes from among all eligible Entries received prior to and/or after (as appropriate) the action taken by Sponsors or in a manner that is fair and equitable as determined by Sponsors in their sole discretion. In case of a dispute over the identity of an entrant who submitted a winning Entry, the authorized account holder of the email address account associated with that Entry will be deemed the entrant. The "authorized account holder" is deemed the natural person who is assigned to an email address by an Internet access provider, service provider or other online organization that is responsible for assigning email addresses for the domain associated with the submitted email. Said owner must comply with these Official Rules and, at Sponsors' sole discretion, may be required to provide proof of ownership of the email account.

Disclaimers: Sweepstakes Entities are not responsible or liable for Entries that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), in excess of the stated limits, or for Entries that are illegible, late, mutilated, forged, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, postage due, or otherwise not in compliance with these Official Rules, and all such Entries will be disqualified. ARBITRATION / WAIVER OF INJUNCTIVE RELIEF / GOVERNING LAW: BY SUBMITTING ENTRY, ENTRANTS AGREE THAT ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THESE OFFICIAL RULES, ITS ENFORCEMENT, ARBITRABILITY OR INTERPRETATION SHALL BE SUBMITTED TO FINAL AND BINDING ARBITRATION, TO BE HELD IN LOS ANGELES COUNTY, CALIFORNIA, BEFORE A SINGLE ARBITRATOR, IN ACCORDANCE WITH CALIFORNIA CODE OF CIVIL PROCEDURE §§ 1280 ET SEQ. THE ARBITRATOR SHALL BE SELECTED BY MUTUAL AGREEMENT OF THE PARTIES OR, IF THE PARTIES CANNOT AGREE, THEN BY SELECTING AN ARBITRATOR FROM A LIST OF ARBITRATORS SUPPLIED BY JAMS (JUDICIAL ARBITRATION AND MEDIATION SERVICES). IF THE PARTIES STILL CANNOT AGREE ON AN ARBITRATOR, THE ARBITRATOR SHALL BE APPOINTED BY JAMS. THE ARBITRATION SHALL BE A CONFIDENTIAL PROCEEDING, CLOSED TO THE GENERAL PUBLIC. THE ARBITRATOR SHALL ISSUE A WRITTEN OPINION STATING THE ESSENTIAL FINDINGS AND CONCLUSIONS UPON WHICH THE ARBITRATOR'S AWARD IS BASED. THE PARTIES WILL SHARE EQUALLY IN PAYMENT OF THE ARBITRATOR'S FEES AND ARBITRATION EXPENSES AND ANY OTHER COSTS UNIQUE TO THE ARBITRATION HEARING (RECOGNIZING THAT EACH SIDE BEARS ITS OWN DEPOSITION, WITNESS, EXPERT AND ATTORNEYS' FEES AND OTHER EXPENSES TO THE SAME EXTENT AS IF THE MATTER WERE BEING HEARD IN COURT). NOTWITHSTANDING THE FOREGOING, THE ARBITRATOR MAY REQUIRE THAT SUCH FEES BE BORNE IN SUCH OTHER MANNER AS THE ARBITRATOR DETERMINES IS REQUIRED IN ORDER FOR THIS ARBITRATION CLAUSE TO BE ENFORCEABLE UNDER APPLICABLE LAW.

Entrants further understand and agree that they shall have no right to enjoin or restrain the development, production, advertising, promotion, distribution or exploitation of the Sweepstakes, Da Vinci Code, or any other Sony or Sponsors (or any of their respective parent companies, subsidiaries or affiliates) production, project or picture.

Entrants acknowledge that the internal substantive laws (as distinguished from the choice of law rules) of the State of California and the United States of America applicable to contracts made and performed entirely in California shall govern the validity and interpretation of these Official Rules and all other causes of action (whether sounding in contract or in tort) arising out of or relating to these Official Rules.
