BY ENTERING THIS CONTEST, YOU AGREE TO THE JUMPCUT.COM PRIVACY POLICY, LOCATED AT http://www.jumpcut.com/company/privacy. JUMPCUT IS NOW A YAHOO! COMPANY. YAHOO! WILL SOON BE INTEGRATING JUMPCUT INTO THE YAHOO! NETWORK. AT THAT POINT, YOU'LL BE ASKED TO LINK YOUR JUMPCUT ACCOUNT TO A YAHOO! ID. AT THAT POINT, THE YAHOO! 1. ELIGIBILITY: Open only to individuals who are legal residents of the Eligibility Area who are 21 years of age or older who are valid Contest ID holders (as defined in Rule 3 below). The following individuals are not eligible: the individuals conducting the administration or judging of the Contest; the employees, contractors, directors and officers of Yahoo! Inc. ("Sponsor"), and its subsidiaries and affiliated companies, and the immediate family members (spouse, parent, child, sibling and spouse or "step" of each) and those living in the same households (those persons whether related or not who live in the same residence for at least three months during the twelve-month period preceding the start date of the Contest) of each such employee, contractor, director, officer, or individual.

2. CONTEST SCHEDULE: You may submit a video in the Contest between 12:01 am Pacific Time ("PT") on February 22, 2007 and 11:59:59 pm PT on May 7, 2007 ("Contest Entry Period").

3. TO ENTER: To enter a video in the Contest, log on to http://promotions.yahoo.com/bigshot/ ("Web Site") during the Contest Entry Period and click on the "Upload Your Ad" link to go to the Contest's group page on Jumpcut.com ("Jumpcut"). If you are not an existing Jumpcut user, you will be required to agree to the Jumpcut Terms of Use, located at http://jumpcut.com/company/terms, and the Jumpcut Privacy Policy, located at http://www.jumpcut.com/company/privacy and create a free Jumpcut account in order to submit a video in the Contest (a "Contest ID"). Once registered with Jumpcut, join the Jumpcut group associated with the Big Shot in Cannes Contest (the "Contest Group") by clicking the "Join This Group" link from the Contest Group page. Review these Official Rules, check the box indicating "I Accept these Rules & Regulations", complete the required registration fields, including First Name, Last Name, Street, City, State, Postal/Zip, Country, Phone Number, and Gender, and click "Submit." When you have successfully joined the Contest Group, click "Upload Your Video" and follow the instructions to upload your final, edited advertisement (your "Submission") to your Jumpcut account. Be sure to set the visibility of your Submission to "Private". Alternatively, you may upload the raw footage for your advertisement and use Jumpcut's online editing tools to complete your Submission. Refer to Rules 4-5 below for more details on requirements for your Submission. Once you have uploaded your advertisement or the elements of your advertisement to Jumpcut, and you are satisfied with any editing you may have performed using Jumpcut's online editing tools, select "Publish" and complete the form to publish your entry into the Contest Group (the "Publish Form") by filling in the Title, setting Visibility to "Private-Not Remixable", and selecting the Big Shot In Cannes Contest Group. Other fields on the Publish Form are not required for Contest submission. Submissions that do not include all required information and adhere to the foregoing and following requirements will be considered void and will not be considered in the judging of this Contest.

4. CONTEST TERMS OF SUBMISSION: As conditions of entry into this Contest, and by uploading a Submission, each Entrant:

i. WARRANTS AND REPRESENTS THAT THE ENTRANT OWNS ALL RIGHTS TO THE SUBMISSION HE/SHE IS ENTERING IN THIS CONTEST, INCLUDING, WITHOUT LIMITATION, THE VIDEO OR DIGITAL RECORDING, AND THE PERFORMANCE CONTAINED IN EACH SUBMISSION;

ii. WARRANTS AND REPRESENTS THAT THE ENTRANT IS THE INDIVIDUAL PICTURED AND HEARD IN THE SUBMISSION, OR, ALTERNATIVELY, THAT THE ENTRANT HAS OBTAINED PERMISSION FROM EACH PERSON WHO APPEARS IN THE SUBMISSION TO GRANT THE RIGHTS TO THE CONTEST PARTIES (DEFINED BELOW) DESCRIBED IN THESE RULES, AND CAN MAKE WRITTEN COPIES OF SUCH PERMISSIONS AVAILABLE TO THE CONTEST PARTIES UPON REQUEST;

iii. WARRANTS AND REPRESENTS THAT HIS/HER SUBMISSION(S): (a) ARE ORIGINAL TO THE ENTRANT AND HAVE BEEN LEGALLY OBTAINED AND CREATED, (b) DO NOT INFRINGE THE INTELLECTUAL PROPERTY, PRIVACY OR PUBLICITY RIGHTS OR ANY OTHER LEGAL OR MORAL RIGHTS OF ANY THIRD PARTY, OR VIOLATE APPLICABLE LAWS, REGULATIONS, OR NETWORK STANDARDS; (c) HAVE NOT BEEN ENTERED IN OR WON PREVIOUS CONTESTS OR AWARDS; AND (d) HAVE NOT BEEN PUBLISHED PREVIOUSLY IN ANY MEDIUM;

iv. irrevocably grants to the Sponsor, and its subsidiaries and affiliated companies, distributors, web design, advertising, fulfillment, judging and Contest agencies involved in the administration, development, fulfillment and execution of this Contest (all of the foregoing, together with Sponsor, the "Contest Parties"), and their affiliates, legal representatives, assigns, agents and licensees, the unconditional and perpetual right and permission to copyright (as appropriate), reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, exhibit and/or otherwise use or reuse (without limitation as to when or to the number of times used), the Entrant's name, address, image, voice, likeness, statements, biographical material and Submission, including, but not limited to, the video or digital recording and performances contained in any of the above items (in each case, as submitted or as edited/modified in any way by the Contest Parties, in the Contest Parties' sole discretion), as well as any additional photographic images, video images, portraits, interviews or other materials relating to the Entrant and arising out of his/her participation in this Contest (with or without using the Entrant's name) (collectively, the "Additional Materials") in any media throughout the world for any purpose, without limitation, and without additional review, compensation, or approval from the Entrant or any other party.

v. acknowledges and agrees that, if Entrant's Submission is chosen as a potential winner, the potential winner will execute an Affidavit of Eligibility and Liability Release, in which the potential winner will irrevocably assign and transfer to the Sponsor any and all rights, title and interest in Submission, including, without limitation, all copyrights, and waive all moral rights in that Submission.

vi. forever waives any rights of privacy, intellectual property rights, and any other legal or moral rights that may preclude the Contest Parties' use of the Entrant's Submission or Additional Materials, or require the Entrant's permission for Contest Parties to use them for any purpose, and agrees to never sue or assert any claim against the Contest Parties' use of those Materials; and

vii. agrees to indemnify and hold the Contest Parties and their respective affiliates, officers, directors, agents, co-branders or other partners, and any of their employees (collectively, the "Promotion Indemnitees"), harmless from any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of the Promotion Indemnitees due to or arising out of the Entrant's Entry Materials or Additional Materials in this Promotion, or the Entrant's conduct during and in connection with this Promotion, including but not limited to trademark, copyright, or other intellectual property rights, right of publicity, right of privacy or defamation.

viii. agrees to release and indemnify and hold harmless Sponsor and the Contest Parties from any and all claims that any commercial, advertising, presentation, web content or any other material subsequently produced, presented, and/or prepared by or on behalf of Sponsor or the Contest Parties infringes on the rights of Entrant's work as contained in any Submission.

5. SUBMISSION FORMAT AND CONTENT REQUIREMENTS.

a. Creative Assignment Create and submit a video advertisements that focuses on environmental or "green" issues. Some examples are Water Preservation and Conservation, Climate Change, Animal Protection, Desertification, and Renewable Energy. If our judges place it in the top 3, you'll win a trip to France to attend the Cannes Lions 2007 International Advertising Festival.

You may also access the Contest creative assignment described above ("Creative Assignment") at the Web Site. Your Submission should be in advertisement form consistent with these Official Rules.

b. Judging Requirements The judging criteria ("Judging Criteria") is as follows:

The judges may also take into consideration the number of "Love" votes received by each entry as of May 7, 2007 at 11:59:59 pm PT as an additional factor in applying the foregoing criteria, but will not be bound by the results of the public voting.

All Submissions will be reviewed for content before being published or judged; however, such review does not relieve Entrant from responsibility for compliance with the Jumpcut Terms of Use and these Official Rules. Submissions that do not comply with the Jumpcut Terms of Use or these Official Rules or that otherwise contain prohibited or inappropriate content as determined by the Sponsor, in its sole discretion, will be disqualified and will not be published or considered for a prize. Sponsor makes the final determination as to which Submissions are eligible to take part in this Contest and be considered for a Prize. Certain Submissions may be featured from time to time on the Web Site during the Contest Entry Period, in Sponsor's sole discretion; being selected as a featured Submission is unrelated to the Judging Criteria and does not guarantee selection as a winner in the Contest.

6. SELECTION OF WINNERS: Submissions will be rated by a preliminary panel consisting of editors and media staff selected by the Sponsor and/or the Contest Parties (the "Preliminary Panel"), who will select the top 10 entries as Semifinalists based on the Judging Criteria described above. The Semifinalists will not be announced. Sponsor reserves the right to select fewer than 10 Semifinalists in the event there is an insufficient number of eligible, tasteful, or otherwise appropriate entries in the Contest. The 10 Semifinalists will then be evaluated by a panel of judges comprised of advertising executives and other members of the advertising industry selected by the Sponsor and/or the Contest Parties (the "Finalist Judges") based on the same Judging Criteria. The Entrant who submitted the Videos that receive the three highest average ratings from the Finalist Judges will be considered the potential Contest winners (each, a "Potential Winner"), subject to verification by the Sponsor and judges that the Videos are in compliance with the Official Rules and do not contain any inappropriate content. An additional number of alternate potential winners ("Alternates") may also be selected, in rank order, from among the remaining eligible Videos as scored by the Finalist Judges. If attempted notification is returned as undeliverable, if a Potential Winner cannot be verified, or if a Potential Winner is otherwise unable to accept prize, prize will be forfeited and may be awarded to an Alternate, provided sufficient time remains, in Sponsor's discretion.

Entrants acknowledge and agree that the Sponsor has the sole right to decide all matters and disputes arising from this Contest and that all decisions of Sponsor are final and binding. Winners, by acceptance of a Prize (defined in Rule 7 below), agree to release, indemnify and hold harmless Sponsor and Contest Parties, as well as each of their respective parent and affiliated companies, and each of their employees, representatives, contractors, advertisers and sponsors from any and all liability, loss, damage, cost or claim relate to any allegation regarding the acceptance or use of their prize, including but not limited to the airing or exhibition of the Submission.

7. PRIZES: Each winner will receive a trip for the winner to attend the Cannes Lions Festival in Cannes, France. Each Prize includes round-trip coach air transportation for a verified winner ONLY (no companions) from a major gateway airport near winner's residence; hotel accommodations (standard, one room) for seven days/six nights (June 17-23, 2007) in Cannes, France; ground transportation to/from hotel; and a Yahoo! Big Idea Chair, to be presented at a special event at the ACT exhibition in Cannes. Approximate retail value ("ARV") of each Prize is $11,500 USD. Sponsor will make arrangements, in its sole discretion, to deliver the Yahoo! Big Idea Chair to the winner's residence.

TRIP RESTRICTIONS: Actual value may vary depending on Prize winner's point of travel origin, airfare and hotel fluctuations. Any difference between stated ARV and actual value will not be awarded. Sponsor reserves the right to substitute ground transportation for air transportation depending on winners' proximity to Cannes, France. Should ground transportation be submitted for air transportation, the difference in prize value, if any, will not be awarded. Airport, airline, tickets and/or hotel accommodations for the Prizes are to be selected by Sponsor. All meals, gratuities, and other expenses associated with the Prize packages not specifically mentioned in these rules are the winner's sole responsibility. All travel must be completed on the dates specified by Sponsor, or Prize will be forfeited. Prize winner's participation in any or all activities for the prize are voluntary. In the event that the Prize winner elects not to participate in any or all designated activities for the prize, Prize winner will be afforded no additional compensation in exchange therefore.

8. GENERAL CONDITIONS: All Entrants must have a valid Contest ID and e-mail address. Winners are solely responsible for any taxes on their respective prizes, and will receive applicable tax forms for the value of their prize, depending on their country of residence. No substitution of prize is offered, except at the sole discretion of the Sponsor. Prizes are non-transferable. By participating, Entrants agree to the following: these Official Rules, which are final and binding in all respects, the Jumpcut Terms of Use, located at http://www.jumpcut.com/company/terms, and the Jumpcut Privacy Policy, located at http://www.jumpcut.com/company/privacy. Unclaimed prizes will not be awarded. Potential Winners will be notified by phone and/or mail and will be required to complete, sign and return an Affidavit of Eligibility/Liability Release, and, where lawful, a Publicity Release by May 23, 2007 or Potential Winner will be disqualified from further participation in the Contest. If time permits, an Alternate may be selected. Notification of Winner status must be kept confidential until the Winners are publicly revealed by Sponsor or you may be disqualified. The Grand Prize Winners will also be required to sign a prize acceptance form prior to participation in any Grand Prize-related activities or travel. If a prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute prize with another prize of equal or greater value. If for any reason the Contest is not capable of running as planned, including without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Sponsor reserves the right, at its sole discretion to cancel, modify or terminate the Contest. Further, Sponsor reserves the right, at its sole discretion, to disqualify any individual deemed to be (a) tampering or attempting to tamper with the entry process or the operation of the Contest or any Sponsor or Yahoo! website; (b) violating the Official Rules; (c) violating the terms of service, conditions of use and/or general rules or guidelines of any Yahoo! property or service, or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Sponsor reserves the right to require a Semifinalist or Potential Winner to submit to a confidential background check to confirm eligibility and help ensure that the use of any such person in advertising or publicity for the Contest will not bring Contest Parties into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Contest as determined by Sponsor in its sole discretion. This Contest is offered only in the Eligibility Area and is governed by the laws of the state of California, USA. All claims relating in any manner to this Contest or to any Submission must be resolved in the federal or state courts located in Santa Clara County, California, USA.

9. LIMITATIONS OF LIABILITY AND RELEASE: No liability or responsibility is assumed by Sponsor or Contest Parties resulting from any user's participation in or attempt to participate in the Contest or ability or inability to upload or download any information in connection with participating in the Contest. No responsibility or liability is assumed by the Sponsor or Contest Parties for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Contest: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any e-mail transmissions to be sent or received; lost, late, delayed or intercepted e-mail transmissions; inaccessibility of the Web Site in whole or in part for any reason; traffic congestion on the Internet or the Web Site; unauthorized human or non-human intervention of the operation of the Contest, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Contest, or loss, miscount, misdirection, inaccessibility or unavailability of an email account used in connection with the Contest. Sponsor and Contest Parties are not responsible for any typographical errors in the announcement of prizes or these Official Rules, or any inaccurate or incorrect data contained on the Web Site. Use of Web Site is at user's own risk. Sponsor and the Contest Parties are not responsible for any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's computer equipment resulting from participation in the Contest, use of the Web Site or the download of any information from the Web Site. By participating in the Contest, the Entrant releases Sponsor and Contest Parties from any and all claims, damages or liabilities arising from or relating to such Entrant's participation in the Contest. By accepting a prize in the Contest, winners agree that the Sponsor and Contest Parties shall not be liable for any loss or injury resulting from participation in the Contest, acceptance or use of any prize, or any travel related thereto. Sponsor and Contest Parties are not liable in the event that any portion of the Contest or Cannes Lions 2007 International Advertising Festival is cancelled due to weather, fire, strike, acts of war or terrorism, or any other condition beyond their control (a "Force Majeure Event"). Should a Force Majeure Event occur, Sponsor may, but is not obligated to, exercise commercially reasonable efforts to exhibit the Grand Prize winning Submissions at another time or make a reasonable substitution in its sole discretion.

10. WINNERS' LIST/RULES REQUEST: For the names of the winners or Official Rules, send your request with a self-addressed, stamped envelope postmarked by August 7, 2007 and received by November 7, 2007 to: Yahoo! Big Shot In Cannes Contest, PO Box 3646, Dept K, St. Cloud, MN 56397-3646. Residents of the state of Vermont, USA may omit return postage.
